Key takeaways

  • The Cayman Islands company is seeking to raise capital through an initial public offering of units.
  • The company has not selected a business-combination target or begun substantive discussions with one, according to the filing.
  • Each unit is proposed to include a Class A ordinary share, a redeemable warrant and a right tied to completion of an initial business combination.
  • The registration statement remains preliminary, and the securities cannot be sold unless it becomes effective.

Preliminary offering filing

Luminous Acquisition filed a Form S-1 registration statement with the U.S. Securities and Exchange Commission. The company is a blank-check company formed to pursue a merger, amalgamation, share exchange, asset acquisition, share purchase, reorganization or similar business combination.

The filing describes an initial public offering of units. It states that the proposed public sale would begin as soon as practicable after the registration statement becomes effective.

Target search and unit structure

Luminous said it has not selected a business-combination target, and that neither the company nor anyone acting on its behalf has initiated substantive discussions with a target. The company said it intends to seek one or more businesses with an aggregate enterprise value of at least $700 million, while retaining the ability to consider a smaller target if it believes doing so would serve shareholders' interests.

Under the prospectus, each unit would consist of one Class A ordinary share, one redeemable warrant and one right. Upon consummation of the initial business combination, the right would entitle its holder to receive one-quarter of a Class A ordinary share.

Completion period and shareholder redemptions

The company has a stated period after the offering closes to complete its initial business combination, with a potential extension if it executes a definitive agreement within the original period. It may also seek shareholder approval for further extensions.

The filing provides public shareholders, other than initial shareholders and directors and officers, an opportunity to redeem public shares in connection with an initial business combination, subject to the conditions described in the prospectus. If the company does not complete a business combination within the applicable period, it says it would redeem public shares using funds held in the trust account, subject to applicable law and stated conditions.

Registration remains incomplete

The prospectus is marked preliminary and states that its information may change. The company may not sell the securities until the SEC registration statement is effective.

Luminous said it intends to apply to list its units on the Nasdaq Global Market. The filing also states that approval for listing is not guaranteed.
